Whole Sale

All merchandise, goods, and products (“Products”) offered for sale by Honcoop Natural Pet Food (“Seller”) are expressly subject to current inventory levels and availability at the time of shipment or pickup. Seller expressly reserves the unfettered right, in its sole and absolute discretion, to decline, cancel, or limit any order in whole or in part, to refuse any order, and/or to substitute Products of comparable or superior quality, notwithstanding prior acceptance or confirmation. No contract or binding agreement for sale shall be deemed formed between Seller and Buyer unless and until Seller expressly confirms acceptance in writing or delivers the Products to Buyer.Title to, ownership of, and risk of loss or damage to all Products shall transfer irrevocably and unconditionally to Buyer at the moment physical possession of such Products is transferred to Buyer, irrespective of whether payment has been made in full or in part. Upon such transfer, Buyer assumes sole responsibility and liability for the custody, safeguarding, storage, handling, and appropriate use of the Products and expressly waives any and all rights to reject, rescind, or dispute the condition, quality, or conformity of the Products thereafter.All Products are sold “AS IS,” “WHERE IS,” and “WITH ALL FAULTS,” without any recourse or remedy against Seller except as otherwise expressly provided in a separately negotiated and executed written agreement. Seller expressly disclaims and negates, to the fullest extent permitted by law, all warranties, guarantees, covenants, and representations of any kind, whether express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.Under no circumstances shall Seller, its principals, directors, employees, agents, representatives, or affiliates be liable to Buyer or any third party for any incidental, consequential, indirect, exemplary, punitive, special, or consequential damages, including but not limited to lost profits, loss of business, loss of goodwill, loss of data, or other intangible losses, arising out of or in connection with the sale, delivery, possession, use, or inability to use the Products, regardless of the legal theory of liability, breach of contract, warranty, tort (including negligence), strict liability, or otherwise, even if Seller has been advised of the possibility of such damages.All sales are final and irrevocable. Seller shall not accept returns, exchanges, or refunds under any circumstance once Buyer has taken possession of the Products. Buyer shall indemnify, defend, and hold harmless Seller, including its affiliates, officers, directors, employees, and agents, from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Buyer’s possession, handling, storage, use, or resale of the Products.This agreement shall be governed by and construed in accordance with the laws of the State in which Seller operates. Buyer hereby submits to the exclusive jurisdiction of the courts located therein and waives any objection to venue.By placing this order, Buyer affirms that they have read, understood, and accepted all terms herein, and expressly waives any right to contest or challenge this disclaimer and limitation of liability.
